Terms of Service

These Terms of Service ("Terms") govern your access to and use of the HistoricWalk platform operated by Historic Walk ("we," "us," or "our"). By using the Service you agree to these Terms. If you do not agree, do not use the Service. These Terms apply to all users, including visitors who take tours and institution administrators who use our platform to create and manage tours.

1. Eligibility

You must be at least 13 years old to use HistoricWalk. By creating an account you represent that you meet this age requirement. If you are under 18, you confirm that a parent or guardian has reviewed and agreed to these Terms on your behalf. Institution accounts represent that they are authorized to enter into these Terms on behalf of their organization.

2. Accounts

You may sign in using Google or create an account with an email address and password. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@historicwalk.tours if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms.

3. Visitor Tour Purchases

One-Time Purchases

Individual tour purchases are one-time payments that grant you lifetime access to that tour's content. All purchases are processed securely through Stripe.

• All sales are final. Due to the digital nature of the content, we do not offer refunds once a tour has been unlocked and accessed.
• If you experience a technical issue that prevents you from accessing purchased content, contact us and we will work to resolve it promptly.
• Prices are listed in US dollars and are subject to change. Your purchase locks in the price at the time of payment.

4. Institution Subscriptions (SaaS Platform)

Museums, historic sites, botanical gardens, and other cultural institutions may subscribe to the HistoricWalk platform to create, publish, and manage their own guided tours. The following additional terms apply to institution accounts.

Subscription Billing

• Institution subscriptions are billed monthly or annually, depending on the plan selected at signup.
• Subscriptions auto-renew at the end of each billing period unless cancelled before the renewal date.
• You authorize us to charge your payment method on file for each renewal period.
• Prices may change with 30 days' written notice. Your continued use after a price change takes effect constitutes acceptance of the new price.

Cancellation

• You may cancel your institution subscription at any time from your account settings or by emailing hello@historicwalk.tours.
• Cancellation takes effect at the end of your current billing period. You will retain access until then.
• We do not offer prorated refunds for partial billing periods unless required by law.

Institution Content and Data

• You retain full ownership of all tour content you upload (text, audio, images, floor plans, and routes).
• You grant us a limited license to host, store, and display your content solely for the purpose of operating the Service.
• Upon cancellation or termination, you may request an export of your content within 30 days. After 30 days, we may delete your content from our servers.
• You represent that you have all necessary rights and permissions to upload and publish the content you provide, including rights to any audio recordings, photographs, and third-party materials.

Tier Features

Features available to your institution depend on your subscription tier (Standard, Premium, or Enterprise). We reserve the right to modify tier features with reasonable notice. If a feature you rely on is removed from your tier, we will notify you at least 30 days in advance.

5. License to Use Content

When you purchase a visitor tour or access tour content as a visitor, we grant you a personal, non-transferable, non-exclusive license to access and use that content for your own private, non-commercial use. You may not:

• Copy, reproduce, or distribute tour content to others.
• Resell, sublicense, or commercially exploit any tour content.
• Reverse-engineer or attempt to extract tour data, routes, audio, or challenges.

6. User-Submitted Content

Some challenges ask visitors to submit photos. By submitting photos you grant us a non-exclusive, royalty-free license to store and use them for the purpose of operating the Service (e.g., confirming challenge completion and displaying them to tour administrators in analytics). We will not sell your photos or use them in marketing materials without your explicit consent. You may request deletion of your submitted photos at any time by contacting us.

7. Copyright and DMCA

We respect intellectual property rights and expect our users to do the same. If you believe content on the Service infringes your copyright, please send a notice to hello@historicwalk.tours with the following:

• A description of the copyrighted work you claim has been infringed.
• A description of the infringing material and its location on the Service.
• Your contact information (name, address, email, phone).
• A statement that you have a good-faith belief that use of the material is not authorized.
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.
• Your physical or electronic signature.

We will respond to valid DMCA notices by removing or disabling access to the infringing content and notifying the uploader.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Attempt to circumvent challenges, share answers, or cheat in a way that degrades the experience for others.
• Upload or publish content that is defamatory, obscene, threatening, or that infringes any third-party rights.
• Interfere with or disrupt the Service, its servers, or networks.
• Attempt unauthorized access to any part of the Service or another user's account.
• Use automated tools (bots, scrapers) to access or extract data from the Service without our written permission.
• Impersonate any person, institution, or entity.

9. Safety and Outdoor Risks

HistoricWalk tours may take place outdoors in public spaces. You are responsible for your own safety at all times. By using the Service you acknowledge that:

• You will obey all traffic laws, cross streets safely, and remain aware of your surroundings.
• You will not trespass on private property.
• Outdoor and physical activities carry inherent risks. We are not liable for injuries, accidents, or losses that occur during a tour.
• Tour routes and points of interest may change. Always use current local knowledge and exercise personal judgment.

10. Intellectual Property

All content created by Historic Walk — including the platform design, challenge mechanics, the HistoricWalk name and logo — is owned by or licensed to us and is protected by copyright and trademark law. Nothing in these Terms transfers ownership of our intellectual property to you.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that historical information presented in tours is complete, accurate, or current.

12. Limitation of Liability

To the fullest extent permitted by law, Historic Walk and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages. Our total liability to you for any claim shall not exceed the greater of (a) the amount you paid us in the 12 months prior to the claim, or (b) $100 USD.

13. Indemnification

You agree to indemnify, defend, and hold harmless Historic Walk and its officers, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) content you upload or publish on the Service; or (c) your violation of any law or third-party right.

14. Force Majeure

We will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, acts of government, internet or infrastructure outages, power failures, or other events outside our control.

15. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles. Any disputes arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Virginia, and you consent to personal jurisdiction in those courts.

16. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 14 days' notice by posting the updated Terms on this page and, where appropriate, notifying you by email. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

17. General

• Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Historic Walk regarding the Service and supersede all prior agreements.
• Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.
• No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
• Assignment. You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights without restriction.
